Fund Raising Agreement

| |
| Pacific Mist Music is entering into the following agreement with |
| (Hereinafter referred to as the Organization) for a fund raising event held |
| by (organization) __________________________________________________________ |
| on (date) ________________ |
| In consideration if the mutual covenants and conditions herein contained, the parties
herto agree as follows: |
| |
| First: An estimation will be made on the number of possible CD (NEAH BAY)
sales at the fund raising event and the number of CD's being requested
for the event by the Organization. These figures will be submitted by mail
or fax, with the signature of the head organizer of the fund raising event. |

| Second: Pacific Mist Music promises to deliver the Said Cd's within
ten business days. And to include a paid receipt for the cost of shipping. |
| |
| Third: After the completion of the fund raising event the following price
breakdown is as follows: Seven Dollars per CD sold and the cost of
shipping per recieved receipt to Pacific Mist Music. The cost of shipping unsold
Cd's back to Pacific Mist Music to be taken from the monies of sold
Cd's. Organization to keep remaining monies. |

| Fourth: Organization sets a price on CD per unit. However, cost per
unit shall not be sold for less then ten dollars and no more than seventeen
dollars. Organization has the right to raise or lower the unit cost at any
time during the event as long as it stays within the said guidlines of Pacific
Mist Music. |

| Fifth: Organization promises to ship remaining unsold Cd's along with
monies for sold Cd's and shipping cost within ten business days to
Pacific Mist Music. Organization also will be required to send a copy of the
receipt for the cost of shipping and unsold Cd's back to Pacific Mist Music. |

| Sixth: Upon Pacific Mist Music's receipt of unsold Cd's and
monies for sold Cd's and shipping cost, Pacific Mist Music will mail
an invoice of the entire transaction to the Organization within three business
days. |
| |
| Seventh: Organization promises to make the NEAH BAY CD available for
review through the entire event. A CD player will be required with conventional
stereo speakers or with headphones for reviewing access. |
